Total Voting Rights

In accordance with the Disclosure and Transparency Rules of the FSA, The MTL Instruments Group plc ("MTL" or the "Company") would like to notify the market that the Company's capital consists of 19,617,673 ordinary shares of 10 pence each with voting rights.

Therefore, the total number of voting rights of 19,617,673 may be used by shareholders as the denominator to determine if they are required to notify their interest in, or a change to their interest in, MTL under the FSA's Disclosure and Transparency Rules.
