Holding in the Company

The MTL Instruments Group plc ("MTL" or the "Company") announces that it was notified on 8 August 2006 that, following the purchase by it of 17,883 ordinary shares in MTL, Merrill Lynch British Smaller Companies Trust Plc now holds 593,790 shares, representing approximately 3.1% of the issued share capital of the Company.
